1. Scope of Services
We agree to provide services as outlined in the agreed quotation, proposal, invoice, message, email or other written communication.
The customer leads the way. We will not carry out extra chargeable work simply because we notice it during a visit. Any additional work requested by the client, or any work required due to unforeseen circumstances, may incur additional charges. We will aim to make this clear before carrying out extra work where reasonably possible.
2. Quotes, Estimates and Pricing
Any quotation or estimate is based on the information available at the time it is given. If the information provided is incomplete, inaccurate or changes after the quote is given, the final cost may change.
Prices may also change if hidden issues are discovered, different or extra materials are needed part way through a job, access is restricted, or the client requests changes to the agreed work.
Unless stated otherwise in writing, a quoted labour price covers labour only. Parts, materials and equipment are charged based on availability and supplier pricing, which can go up or down after a quote is provided. We will keep this as clear as reasonably possible before ordering or fitting chargeable parts.
3. Customer Responsibilities
The client is responsible for providing safe and reasonable access to the property, work area, equipment and services needed to complete the agreed work.
The client should also ensure that:
- Any required permission from landlords, property owners or site managers has been obtained.
- The work area is reasonably clear and safe to access.
- Important information about existing wiring, services, equipment or hazards is shared before work begins.
- Someone authorised to approve decisions is available where needed.
4. Payment Terms
Payment is due immediately upon completion of the agreed work, unless otherwise stated in writing.
We reserve the right to request a non-refundable deposit before commencing work, especially where materials, equipment, booked time or planning are required in advance.
If payment is not received when due:
- We reserve the right to suspend or withdraw services.
- We may pause further work until outstanding payment is made.
- We may remove, suspend or disable any work delivered, including websites or digital services, until payment is made in full.
5. Late Payments
Failure to make payment may result in additional charges, including interest and recovery costs, in line with applicable UK legislation and regulations.
For business-to-business work, this may include rights under late commercial payment rules where applicable.
6. Cancellation and Termination
Either party may terminate the agreement with written notice.
Any work completed up to the point of cancellation or termination will be charged and payable immediately. Any materials, equipment or booked time already committed to the job may also be chargeable.
7. Materials and Equipment
Any materials, parts or equipment supplied by us remain our property until paid for in full.
Where the client supplies their own equipment, we are not responsible for faults, compatibility issues, missing parts, product limitations or warranty issues with that equipment.
8. Websites and Digital Services
Where we provide website, digital, hosting, domain, email or online services, any ongoing access, hosting, updates or support will be subject to the agreement made for that service.
We reserve the right to suspend or disable unpaid digital services until payment is made in full.
9. Liability
Our liability is limited to the total amount paid for the services provided, unless otherwise required by law.
We are not liable for indirect, incidental or consequential losses, including loss of income, loss of business, loss of data, loss of profit or loss caused by third-party products, internet providers, platforms or services outside our control.
10. Confidentiality
Both parties agree to keep confidential any sensitive, private or proprietary information obtained during the course of the work and not disclose it to third parties without consent, unless required by law.
11. Intellectual Property
All work remains our property until full payment has been received.
Upon full payment, ownership of final deliverables transfers to the client unless otherwise agreed in writing. Drafts, working files, unused concepts, source files and internal processes remain our property unless specifically included in the agreement.
12. Photos, Evidence and Records
We may take reasonable photos or records of completed work for job records, evidence, quality control, invoices or customer support.
We will not intentionally publish identifying customer information without permission.
13. Governing Law
These terms are governed by the laws of England and Wales, and any disputes will be subject to the jurisdiction of those courts.
Acceptance of Terms
By engaging our services, accepting a quotation, making a booking, paying a deposit or allowing work to begin, you agree to these Terms and Conditions.
